Main Purpose of Role

We are seeking a highly motivated and commercially minded Corporate Solicitor to join our in-house legal team. This role is central to supporting the company’s ambitious growth strategy in the development, acquisition, and sale of Battery Energy Storage Systems (BESS) and data centre projects across the UK.

You will play a key role in M&A transactions, including the acquisition and disposal of project companies, establishing and maintaining corporate structures for development projects, and providing general commercial legal support across the business. The role requires strong technical legal skills, commercial acumen, and the ability to work collaboratively with colleagues across project development, finance, and operations.

Key Tasks & Accountabilities

  • Mergers & Acquisitions: Lead and support on the acquisition and sale of project companies, including due diligence, drafting, and negotiation of transaction documents.
  • Corporate Structuring: Advise on and implement corporate structures for new development projects, including joint ventures, shareholder agreements, and SPVs.
  • Commercial Advice: Provide pragmatic legal guidance on a wide range of commercial contracts and business matters.
  • Transaction Management: Liaise with funders’, purchasers’, and co-developers’ solicitors to ensure smooth execution of corporate and project transactions.
  • Risk Management: Identify and mitigate legal and commercial risks arising from corporate transactions and development structures.
  • Cross-functional Collaboration: Work closely with the finance and development teams to ensure legal input is aligned with commercial objectives.
  • Governance & Compliance: Ensure all corporate and commercial activities are compliant with company policies, corporate law, and regulatory requirements.

  • Stakeholder Engagement: Effectiveness in managing relationships with external solicitors, co-developers, and funders.Collaboration: Contribution to cross-functional teamwork, ensuring alignment between legal and business priorities.
  • Efficiency: Ability to manage multiple complex transactions simultaneously without compromising quality or deadlines.
  • Continuous Improvement: Development of precedent documents, playbooks, and improved processes to streamline corporate transactions.

Role Requirements Skills

  • Excellent communication and interpersonal skills, with confidence in liaising with senior stakeholders and external solicitors.
  • Strong organisational and time management skills, with the ability to prioritise competing demands.
  • A collaborative team player who balances legal rigour with practical, commercially focused solutions.
  • Commercial pragmatism, with the ability to work effectively in a fast-paced, entrepreneurial environment.
  • Proficiency with Microsoft Office (Word, Excel, Outlook).

Knowledge & Experience

  • Background in corporate law with strong exposure to M&A transactions and/or energy/infrastructure projects.
  • Demonstrable experience advising on acquisitions, disposals, joint ventures, and corporate structuring.
  • Strong understanding of financing structures and investor requirements in project transactions.
  • Experience providing general commercial legal advice within a corporate environment.

Academic & Professional Qualifications

  • Qualified Solicitor in England & Wales and/or Scotland, with 2-6 years PQE (experience outside this range considered for the right candidate).
