Job Description
The Paralegal Specialist provides comprehensive legal, governance, and compliance support for CB&I Asset Solutions, an operating company with the CB&I group. This position plays a key role in maintaining high quality governance standards, ensuring entity compliance, and supporting lifecycle management activities across multiple jurisdictions. The role partners closely with CB&I’s Director of Legal & Strategy Operations, regional stakeholders, and external counsel, bridging coordination between Houston headquarters and global operations.
JOB TITLE: PARALEGAL SPECIALIST Responsibilities Entity Management Responsibilities
- Support the legal and governance needs specific to CB&I Asset Solutions, including corporate recordkeeping officer/director updates, license renewals, and corporate filings.
- Ensure timely execution of statutory filings, annual returns, licensing renewals, and regulatory submissions.
- Maintain accurate corporate data and compliance requirements in the entity management platform.
- Coordinate with internal stakeholders and external counsel related to the transition and rebranding to CB&I Asset Solutions, including updates to entity names, documentation, platforms, and corporate records.
Legal Operations & Cross Regional Coordination
- Serve as a central point of coordination between Houston headquarters and CB&I Asset Solutions teams to ensure alignment on governance and compliance standards.
- Support internal audits, due diligence requests, regulatory reviews, and cross departmental initiatives involving corporate documentation.
- Develop and maintain internal processes, SOPs, templates, and tracking tools to enhance governance and entity lifecycle efficiency.
- Assist with legal operations initiatives, data hygiene improvements, and system enhancements for entity management.

Experience & Qualifications
- Bachelor’s degree, paralegal certificate from an accredited program or equivalent experience.
- Strong Paralegal experience with a focus on corporate governance and international entity management.
- Experience supporting regional or global entity portfolios, including complex corporate structures.
- Familiarity with corporate subsidiary governance, ideally involving branded or operationally distinct business units.
- Strong proficiency with entity management platforms (Diligent Entities, GEMS, hCue, or comparable tools).
